Rs. 10 each (the "Equity Shares") of Carraro India Limited (the "Company" or "Issuer") for cash at a price of Rs. 704 per equity share bearing face value of Rs. 10 each (the "Offer Price") aggregating to Rs. 1250.00 crores (the "Offer") comprising an offer for sale of 17,755,681 equity shares bearing face value of Rs. 10 each aggregating to Rs. 1250.00 crores by Carraro International S.E. (the "Promoter Selling Shareholder", and such offer for sale, the "Offer for Sale", and such equity shares bearing face value of
Rs. 10 each, the "Offered Shares"). The offer constitutes 31.23% of the post-offer paid-up equity share capital of the company.
